Real-World Franchise Impact
Instead of simply advising franchise companies, Scott has helped organizations achieve measurable business outcomes.

Core Legal Industries
Scott advises businesses and leadership teams across four related growth models: franchising, dealerships, distribution, and licensing. Each model requires practical legal strategy, strong agreements, clear compliance systems, brand protection, and business judgment that supports long-term growth.

Franchise Systems
Franchise disclosure documents, franchise agreements, registration and compliance, franchisee relations, system growth, acquisitions, governance, enforcement, and disputes.

Dealership Networks
Dealer agreements, territory rights, performance standards, brand controls, transfers, succession issues, terminations, compliance, and network governance.

Distribution Relationships
Distribution agreements, channel strategy, territory management, exclusivity, supply obligations, pricing issues, brand standards, relationship management, and enforcement.

Licensing Programs
Brand and intellectual property licensing, license agreements, royalty structures, operating standards, quality control, compliance, enforcement, and growth planning.

Helping Organizations Succeed

Franchise, Dealership, Distribution & Licensing Growth Strategy

Growth creates opportunity, but it also creates complexity. Scott helps organizations align franchise expansion, dealership programs, distribution channels, licensing strategies, compliance, leadership, capital strategy, and operational readiness with long-term business objectives. His capital strategy experience extends to public bond offerings, whole company securitizations, leveraged dividend recapitalizations, and other sophisticated financing structures.

Chief Legal Officer & Outside General Counsel Services

Not every business needs full-time in-house counsel. Many do need steady legal guidance from someone who understands how businesses actually operate. Scott provides outside general counsel and CLO-level support for companies that need practical legal leadership without building a full internal legal department.

Board Leadership & Governance

Effective governance helps organizations make better decisions and achieve stronger outcomes. Scott brings board-level experience and practical governance insight to organizations seeking greater accountability, stronger oversight, and more disciplined strategic direction.

Franchise, Dealership, Distribution & Licensing Transactions, Compliance & Disputes

Scott advises clients on franchise disclosure documents, franchise agreements, dealer and distributor agreements, licensing structures, regulatory compliance, intellectual property, acquisitions, relationship management, enforcement issues, and dispute strategy.

Guidance for Franchise Buyers

Considering a franchise purchase. Scott reviews disclosure documents and franchise agreements, evaluates the opportunity behind them, and helps prospective franchisees enter the relationship with clear eyes, drawing on his experience as a franchisor, Chief Legal Officer, and investor.

Crisis Management and High-Profile Partnerships

When legal exposure and public perception are moving at the same time, Scott helps founders and brand leaders protect the business, the brand, and the relationship network around it. His experience includes crisis management, legal and public relations coordination, and high-profile endorsement, sponsorship, appearance, media, and talent agreements.

Experience that creates perspective

Every relationship-based growth organization faces different challenges. Some are launching new franchise systems. Others are structuring dealership programs, expanding distribution channels, building licensing models, managing rapid growth, franchisee or dealer relations, capital transactions, governance demands, leadership transitions, succession planning, regulatory pressure, or strategic change.

Scott’s experience across franchise, dealership, distribution, and licensing law, executive leadership, board service, advisory roles, and business ownership gives clients practical guidance grounded in real-world decision-making.

Leadership Inside Recognized Franchise and Growth Brands

Scott has served in board, Chief Legal Officer, founder, investor, and advisory roles across franchise, hospitality, healthcare, consumer services, and growth-stage businesses.

His experience includes board and CLO service with Hawk Parent Holdings, the parent company of Hooters of America; advisory board service with Big Brand Ventures; co-founder, investor, and advisory board involvement with Rolling Suds; and leadership roles with additional franchise and growth companies.

Entrepreneurial Insight From Inside the Deal Room

Scott's legal work is strengthened by his work as an active business partner and operator alongside some of the country's most recognized entrepreneurs.

Scott is a business partner of Kevin Harrington, one of the original sharks from Shark Tank and a pioneer of the modern infomercial. Together they have partnered on the launch of HydroDog USA, building out the franchisor behind the mobile dog grooming brand, and on NuImage Medical, an online telemedicine and pharmaceutical company. Scott also serves on the advisory board of Mr. Harrington's venture incubation firm, Big Brand Ventures. In that role he spearheads Big Brand's franchise, dealership, and distribution development efforts, evaluates new investment opportunities, and advises on capital structures and fundraising efforts.

This is a business partnership, not a legal one. It gives Scott a front-row view into the pace, pressure, and opportunity behind brand-building, deal-making, product launches, franchise growth, and emerging company development. He has sat on the operator's side of the table, not just the lawyer's.

For Scott's clients, that perspective matters. He brings legal experience, business judgment, and real entrepreneurial ownership to franchise, dealership, distribution, licensing, advisory board, CLO-level, and outside general counsel matters.

Trusted Across Franchise and Related Growth Channels

His work includes advising franchise systems from emerging concepts to mature brands, supporting domestic and international expansion, advising on licensing and distribution structures, speaking on franchise and business law topics, and contributing to respected franchise law publications and industry programs.
